At our upcoming general membership meeting on Wednesday, December 13, the Board will propose the following amending language to the club’s by-laws. The proposed new language is underlined:
Article IV – Board of Directors
Section 4.1 The Board of Directors (or “the Board”) shall consist of not less than seven (7) nor more than nine (9) members, including the elected officers as defined in Section 4.5, and not less than three (3) nor more than five (5) members elected by the Board of Directors.
The Board’s thinking is that this would give sitting Boards the option of recruiting additional Board members, if needed and only if needed, to assist with special projects and board recruitment and succession.
Currently the Board consists of its officers (president, vice president, secretary, and treasurer) and three directors at large (although, typically, these at large directors have a portfolio, such as trails coordinator, communications, et cetera). Board terms are two years. This proposal does not change the number or duties of officers.
